Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the JustTrades.us website, applications, and services (collectively, the “Service”). The Service is a product of Forward Alliance Ventures LLC, a New York limited liability company located at 418 Broadway #STE R, Albany, NY 12207 (“JustTrades,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What JustTrades Is — and Is Not

JustTrades is a simulated (“paper”) trading and educational platform. It lets you practice trading, track simulated performance, participate in challenges, and learn how order execution works using virtual balances and delayed or derived market data.

• No real money and no real securities. All balances, orders, fills, and positions are simulated. No actual securities are bought, sold, held, or transferred, and no real funds are ever at risk through the Service.
• We are not a broker-dealer, exchange, or investment adviser. The Service does not execute real trades, hold customer assets, or provide brokerage services.
• Nothing on the Service is investment, financial, legal, or tax advice. Content, data, simulated results, rankings, and any outputs are for educational and informational purposes only. Simulated performance is hypothetical and is not indicative of actual results. You are solely responsible for any real-world decisions you make.

2. Eligibility and Accounts

• You must be at least 18 years old and able to form a binding contract. By using the Service, you represent that you are 18 or older.
• You must provide accurate registration information, including a valid email address and username.
• You are responsible for safeguarding your login credentials and for all activity under your account. Notify us promptly of any unauthorized use.
• You may not impersonate others, create accounts through automated means, or maintain multiple accounts to abuse challenges, leaderboards, or other features.
• Usernames and other public-facing identifiers must not be offensive, misleading, or infringe anyone’s rights. We may reclaim or change usernames that violate these Terms.

3. Market Data and Data Usage Restrictions

The Service displays market data — including prices, quotes, volumes, historical data, corporate-actions data, and derived reference values (collectively, “Market Data”) — that we obtain from third-party data providers. Market Data is provided to you solely for your own personal or internal business use within the Service, and is subject to the restrictions below. These restrictions are a material condition of your right to use the Service.

Nature of the data

• Market Data may be delayed (for example, by approximately 15 minutes) and/or consist of derived reference values rather than live, venue-native quotes. It is provided on an “as is” and “as available” basis for educational and informational purposes and must not be relied upon for actual trading, investment, or financial decisions.
• Fills, marks, and valuations shown in the Service are simulated figures derived from Market Data and are not real execution prices.

You may not

• Resell, redistribute, sublicense, or otherwise make Market Data available to any third party, or use it other than within your authenticated use of the Service.
• Export or extract Market Data in bulk or in machine-readable form — including via CSV, Excel, JSON, scraping, API access, or other raw-data export. Limited export of a small amount of data relating to one or a few tickers, or of your own simulated activity (for example, your trade history), is permitted solely for your personal research purposes, and any exported data may be used only for personal research and may not be redistributed.
• Reverse engineer, decompile, or attempt to derive the source, algorithms, file formats, or interfaces of the Service or Market Data; remove or alter any proprietary markings or attributions.
• Use the Service or Market Data to build or benchmark a competing product or service, to publish analyses of the data or Service to the public, or to circumvent any usage, rate, or query limits.
• Use the Service or Market Data to train or fine-tune any artificial-intelligence or machine-learning model.
• Use the Service or Market Data in violation of any applicable law, exchange rule, or the terms, requirements, or restrictions of any upstream data source or securities exchange.

Provider terms and fingerprinting

• Market Data is provided by one or more third-party data providers, which are identified in the attribution on our disclaimer page.
• You acknowledge that data providers may fingerprint data to trace its distribution, and that your use of Market Data is also subject to the applicable provider’s own terms of use.
• We may suspend or limit access to Market Data for any account pending investigation of suspected misuse, or where required by a data provider or upstream source.

Data access arrangement

We source Market Data and operate execution, pricing, corporate-actions, charting, notifications, and other data-dependent functions through one or more third-party providers, and different functions may be served by different providers. We may add, remove, or substitute providers. Your use of Market Data remains subject to the restrictions in this Section 3 and to the then-current providers’ terms. If a provider arrangement ends, access to that provider’s data may cease; however, your own simulated trading records and other derived content that are not a substitute for, and cannot be reverse engineered into, a provider’s underlying data may be retained by us and by you.

4. Acceptable Use

You agree not to: (a) interfere with or disrupt the Service or its infrastructure; (b) attempt to gain unauthorized access to any account, system, or data; (c) use bots, scrapers, or automated means to access the Service except as expressly permitted; (d) upload malicious code or circumvent security or usage limits; (e) use the Service for any unlawful, fraudulent, or abusive purpose; or (f) manipulate, rig, or otherwise game challenges, leaderboards, rankings, or simulated results, or exploit the simulated nature of the Service to gain an unfair advantage. You agree to conduct your simulated activity as though applicable securities laws — including prohibitions on market manipulation and trading on material non-public information — applied to it.

5. User Content, Notes, and Public Features

• Your content. You may add content such as trade notes and a username. You are responsible for that content and must not include personal, confidential, unlawful, infringing, or offensive material. You grant us a license to host, store, display, and process your content to operate the Service.
• Visibility. Where you designate an account or challenge as public, your username and associated performance metrics may be displayed on public leaderboards and made discoverable by other users. Within a challenge, your trades and trade notes may be accessible to the challenge instructor and, where the challenge is so configured, to other participants. You are solely responsible for the content you submit and should not include in any note any information you do not wish to be disclosed to such parties.
• Instructors. By joining an instructor-led challenge, you acknowledge and agree that the instructor may access, review, and export the trade activity and notes of participants in that challenge.

6. Fees

Certain features may require a paid subscription or fees, which will be disclosed to you before purchase. Unless stated otherwise or required by law, fees are non-refundable. We may change fees on a prospective basis with notice.

7. Intellectual Property

The Service, including its software, design, and content (other than third-party data and your own content) is owned by JustTrades and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended, personal or internal business purpose, subject to these Terms.

8. Disclaimers

THE SERVICE, THE MARKET DATA, ANY UPDATES, DOCUMENTATION, AND ALL OTHER MATERIALS AND CONTENT PROVIDED THROUGH THE SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, AND WE HEREBY DISCLAIM ANY AND ALL IMPLIED OR STATUTORY WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT, ANY WARRANTY OF ERROR-FREE OR UNINTERRUPTED OPERATION, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE. We do not warrant that Market Data is accurate, complete, timely, or suitable for any purpose. Simulated results do not reflect real trading and are not indicative of future or actual performance.

We do not guarantee that every error in the Service, or every problem you raise, will be resolved. The Service and Market Data depend in part on third-party data providers and infrastructure, and neither we nor our data providers warrant the Service or Market Data or make any warranty in connection with them beyond what is expressly stated in these Terms. To the extent applicable law does not permit the disclaimer of any implied warranty, the scope and duration of that warranty will be the minimum permitted under such law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JUSTTRADES AND ITS AFFILIATES AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE SIX (6) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

10. Indemnification

You agree to indemnify and hold harmless JustTrades, its affiliates, and their respective officers, members, and employees from any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your content, or your violation of these Terms, applicable law, or any data-provider or exchange terms.

11. Suspension and Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that violates these Terms or that we reasonably believe is harmful to the Service, other users, or our data providers. You may stop using the Service at any time and may request deletion of your account as described in our Privacy Policy. On termination, your license to use the Service and any Market Data ends; your simulated trading records (derived data) may be retained as described in Section 3 and our Privacy Policy. Sections 3, 7–10, 12, 14, and 15 survive termination.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. You and JustTrades consent to the exclusive jurisdiction of the state and federal courts located in New York for any dispute arising out of or relating to these Terms or the Service.

13. Electronic Communications

By using the Service, you consent to receive communications from us electronically, including account, transaction, security, and service-related notices, by email or through the Service. You agree that all notices, disclosures, and other communications we provide electronically satisfy any legal requirement that they be in writing. You may still receive certain legally required notices by other means where the law so requires.

14. Assignment

You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent, and any attempted assignment in violation of this section is void. We may assign or transfer these Terms, in whole or in part, including to an affiliate or in connection with a merger, acquisition, financing, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.

15. Severability; Waiver; Entire Agreement

If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if it cannot be, severed, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with our Privacy Policy and any other policies referenced here, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements on that subject.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
